1. Preamble and Binding Agreement

These Terms and Conditions (“Terms”, “Agreement”) constitute a legally binding contract between PineMart International Pvt. Ltd. (“Company”, “We”, “Us”, “Our”), a private limited company incorporated under the Companies Act, 2013, and any natural person, legal entity, or authorized representative (“User”, “You”, “Your”) accessing, browsing, registering on, transacting with, or otherwise interacting with the e-commerce platform hosted at https://www.pinemart.in (“Platform”), integrated with third-party services, including Razorpay for payment processing and logistics partners such as Amazon Courier Service, Delhivery, DTDC, XpressBees, Ecom Express, FedEx, and BlueDart for delivery services.

By accessing or using the Platform, you unequivocally acknowledge, affirm, and agree to be bound by these Terms in their entirety, including all provisions, clauses, sub-clauses, and referenced policies (e.g., Privacy Policy). You further waive any claims of unenforceability or ambiguity arising from the length, complexity, or technical nature of this Agreement. Non-compliance with these Terms may result in termination of access, account suspension, or legal action, as deemed appropriate by the Company.

2. Scope and Territorial Limitation

These Terms exclusively govern:

  • Users domiciled within the Republic of India;
  • Transactions, interactions, or engagements conducted via the Platform;
  • Commercial activities facilitated through Razorpay payment gateways and logistics services provided by Amazon Courier Service, Delhivery, DTDC, XpressBees, Ecom Express, FedEx, and BlueDart;
  • All services, products, or functionalities offered by PineMart within India.

These Terms expressly exclude:

  • Individuals or entities residing outside India, even if accessing the Platform via virtual private networks (VPNs), proxies, or other means;
  • Third-party websites, applications, or services linked from the Platform, unless explicitly managed by PineMart;
  • Any offline transactions or interactions not directly facilitated by the Platform.

3. Definitions and Interpretative Provisions

For the purposes of this Agreement, the following terms shall carry the meanings ascribed below, unless otherwise required by context or law:

  • “Platform”: The e-commerce website https://www.pinemart.in, including its user interfaces and associated services.
  • “User”: Any individual or entity accessing the Platform, including registered account holders, guest users, or authorized representatives.
  • “Order”: A request by a User to purchase products or services listed on the Platform, subject to acceptance by PineMart.
  • “Personal Data”: As defined in the Privacy Policy, any information relating to an identified or identifiable natural person.
  • “Third-Party Services”: External providers integrated with the Platform, including but not limited to Razorpay (payment processing) and logistics partners (Amazon Courier Service, Delhivery, DTDC, XpressBees, Ecom Express, FedEx, BlueDart).
  • “Content”: All text, images, videos, product descriptions, or other materials displayed on the Platform.
  • “Force Majeure”: Events beyond the Company’s reasonable control, including natural disasters, cyberattacks, governmental restrictions, or third-party service failures.

All undefined terms shall carry meanings consistent with the Consumer Protection Act, 2019Information Technology Act, 2000, or other applicable Indian statutes.

4. Acceptance of Terms

By engaging with the Platform, including but not limited to browsing, registering, placing an Order, or making a payment, you:

  • Acknowledge that you have read, understood, and agreed to these Terms in their entirety;
  • Represent that you are at least 18 years of age or have obtained verifiable parental consent;
  • Agree to be bound by all obligations, restrictions, and liabilities outlined herein;
  • Consent to the Company’s right to amend these Terms at its sole discretion, with such amendments effective upon posting.

5. Eligibility and Account Registration

5.1 Eligibility Criteria

To use the Platform, you must:

  • Be a natural person or legal entity domiciled in India;
  • Be at least 18 years of age or have parental consent if under 18;
  • Provide accurate, complete, and verifiable information during registration or checkout;
  • Comply with all applicable Indian laws, including those governing e-commerce and taxation.

5.2 Account Creation

  • Users may create an account by providing a valid email address, mobile number, and other required details.
  • You are responsible for maintaining the confidentiality of your account credentials (e.g., password) and for all activities conducted under your account.
  • The Company reserves the right to suspend or terminate accounts for suspected fraudulent activity, misuse, or violation of these Terms.

6. Ordering and Payment Terms

6.1 Order Placement

  • Orders are subject to product availability and acceptance by PineMart.
  • The Company reserves the right to reject or cancel Orders at its discretion, including for pricing errors, stock unavailability, or suspected fraud.
  • Order confirmation is sent via email or SMS upon successful payment and acceptance.

6.2 Payment Processing

  • Payments are processed securely via Razorpay, a third-party payment gateway compliant with PCI-DSS standards.
  • The Company does not store or access sensitive payment information (e.g., card numbers, CVV, UPI PINs).
  • All payment disputes must be resolved directly with Razorpay, subject to their terms and conditions.

6.3 Pricing and Taxes

  • All prices are listed in Indian Rupees (INR) and include applicable taxes (e.g., GST) unless otherwise stated.
  • Prices are subject to change without prior notice, but Orders confirmed prior to changes will be honored at the original price.
  • Additional charges (e.g., shipping, convenience fees) will be disclosed during checkout.

7. Shipping and Delivery

The Company partners with trusted logistics providers, specifically Amazon Courier ServiceDelhiveryDTDCXpressBeesEcom ExpressFedEx, and BlueDart, to facilitate timely delivery of Orders.

  • Delivery timelines are estimates and subject to delays due to the performance of Amazon Courier Service, Delhivery, DTDC, XpressBees, Ecom Express, FedEx, BlueDart, or other external factors such as Force Majeure events, governmental restrictions, or logistical disruptions.
  • The Company is not liable for delays, losses, damages, or non-delivery caused by the aforementioned logistics partners or external circumstances beyond its reasonable control.
  • Users must provide accurate and complete shipping addresses during checkout. The Company shall not be responsible for failed deliveries, misdeliveries, or additional costs arising from incorrect, incomplete, or unverifiable address information.
  • Delivery tracking information, where available, will be provided via email or the Platform’s user dashboard, subject to the capabilities of the assigned logistics provider (Amazon Courier Service, Delhivery, DTDC, XpressBees, Ecom Express, FedEx, or BlueDart).
  • In the event of delivery-related disputes, Users must contact info@pinemart.in within 48 hours of the estimated delivery date, providing relevant Order details and tracking information.

8. Returns, Refunds, and Replacements

8.1 Return Policy

  • Returns are accepted within 7 days of delivery, provided the product is unused, undamaged, and in its original packaging with all tags and accessories intact, unless the return is due to a damaged or defective product.
  • For returns of damaged or defective products, Users must mandatorily submit video and photographic evidence clearly demonstrating the damage or defect, along with the Order ID and a detailed description of the issue, to info@pinemart.in.
  • The return process for damaged or defective products is as follows:
    1. The User submits a return request with mandatory video and photographic evidence.
    2. Upon approval, one of our delivery partners (Amazon Courier ServiceDelhiveryDTDCXpressBeesEcom ExpressFedEx, or BlueDart) will collect the defective or damaged product from the User’s provided address.
    3. The collected product will be handed over to our warehouse for inspection and verification.
    4. Upon confirmation of the damage or defect, a refund will be issued via UPI or as store credit to the User’s account, at the Company’s discretion.
  • Certain products, including perishable items, customized goods, or products marked as non-returnable during purchase, are ineligible for return unless defective or damaged upon receipt.
  • Return shipping costs shall be borne by the User unless the return is due to a Company error (e.g., wrong or defective product).

8.2 Refund Policy

  • Refunds for approved returns of damaged or defective products are processed within 7–14 business days after warehouse verification, via UPI or store credit, subject to Razorpay’s processing timelines.
  • Refunds for non-defective returns (where applicable) are processed within 7–14 business days via the original payment method.
  • Shipping charges, convenience fees, or applicable taxes are non-refundable unless the return is due to a Company error.
  • The Company reserves the right to inspect returned products before approving refunds.

8.3 Replacement Policy

  • For damaged or defective products eligible for replacement, the User must submit a replacement request with mandatory video and photographic evidence to info@pinemart.in, including the Order ID and issue details.
  • Upon approval, one of our delivery partners (Amazon Courier ServiceDelhiveryDTDCXpressBeesEcom ExpressFedEx, or BlueDart) will exchange the damaged or defective product with a replacement product during a single delivery visit.
  • Replacements are subject to product availability and may be substituted with store credit if the original product is out of stock.
  • Replacement shipping costs are borne by the Company only if the issue is due to a Company error.

8.4 Cancellation Policy

  • Orders may be canceled prior to dispatch by contacting info@pinemart.in with the Order ID.
  • Cancellations after dispatch are subject to the return policy outlined above.
  • The Company may cancel Orders at its discretion for reasons including stock unavailability, pricing errors, or suspected fraudulent activity, with full refunds issued for prepaid Orders.

9. Data Sharing and Third-Party Disclosures

Personal Data may be shared with trusted third-party logistics providers, specifically Amazon Courier ServiceDelhiveryDTDCXpressBeesEcom ExpressFedEx, and BlueDart, for the purpose of Order fulfillment, delivery tracking, and return/replacement processes.

Additional third-party disclosures include:

  • Razorpay for secure payment processing (PCI-DSS compliant);
  • Analytics providers (e.g., Google Analytics) for usage insights;
  • Legal authorities, including courts or regulatory bodies, upon receipt of a valid legal order;
  • Business partners in the event of a merger, acquisition, or corporate restructuring.

All third parties, including Amazon Courier Service, Delhivery, DTDC, XpressBees, Ecom Express, FedEx, and BlueDart, are contractually obligated to comply with the DPDP Act, 2023 and maintain equivalent data protection standards.

The Company shall not be liable for data breaches or mishandling by third parties (including logistics partners) occurring outside its reasonable control.

10. Intellectual Property Rights

All Content on the Platform, including but not limited to product images, descriptions, logos, trademarks, and user interfaces, is the exclusive property of PineMart or its licensors, protected under the Copyright Act, 1957 and Trade Marks Act, 1999.

Users are strictly prohibited from copying, reproducing, distributing, modifying, or creating derivative works from any Content without prior written consent from the Company.

Unauthorized use of intellectual property may result in civil or criminal penalties under applicable Indian laws.

11. User Conduct and Responsibilities

Users agree to:

  • Use the Platform solely for lawful purposes in compliance with Indian laws;
  • Refrain from posting, transmitting, or distributing malicious code, defamatory content, obscene materials, or unlawful communications;
  • Avoid activities that disrupt, interfere with, or compromise Platform functionality, including hacking, spamming, or distributed denial-of-service attacks;
  • Provide accurate, complete, and up-to-date information during registration, checkout, or support interactions, including for returns and replacements;
  • Bear responsibility for all tax obligations (e.g., GST, TDS) arising from purchases;
  • Not impersonate any person or entity or provide false information.

The Company reserves the right to suspend or terminate access for Users violating these Terms, without prior notice.

12. Data Protection and Privacy

All collection, processing, storage, and sharing of Personal Data are governed by the PineMart Privacy Policy, accessible at https://www.pinemart.in.

Users consent to the collection, use, and disclosure of Personal Data as outlined in the Privacy Policy, in compliance with the DPDP Act, 2023.

The Company is not liable for data breaches caused by third-party services (e.g., Razorpay, Amazon Courier Service, Delhivery, DTDC, XpressBees, Ecom Express, FedEx, BlueDart) or User negligence (e.g., sharing credentials).

13. Limitation of Liability

To the fullest extent permitted by law, PineMart shall not be liable for:

  • Indirect, incidental, consequential, special, or punitive damages arising from Platform use, including loss of profits, data, business opportunities, or goodwill;
  • Errors, interruptions, or delays caused by third-party services, including Razorpay, Amazon Courier Service, Delhivery, DTDC, XpressBees, Ecom Express, FedEx, or BlueDart;
  • Losses resulting from Force Majeure events, cyberattacks, or unauthorized access beyond the Company’s reasonable control;
  • Inaccuracies in product descriptions, pricing, or availability, subject to correction at the Company’s discretion.

The Company’s total liability for any claim shall not exceed the value of the Order giving rise to the claim.

14. Indemnification

You agree to indemnify, defend, and hold harmless PineMart, its affiliates, officers, directors, employees, agents, and third-party partners (including Amazon Courier Service, Delhivery, DTDC, XpressBees, Ecom Express, FedEx, and BlueDart) from any claims, liabilities, damages, costs, or expenses (including legal fees) arising from:

  • Your violation of these Terms or applicable laws;
  • Misuse of the Platform or its Content;
  • Submission of inaccurate, incomplete, or fraudulent information, including during returns or replacements;
  • Infringement of intellectual property or third-party rights;
  • Actions resulting in losses to the Company or its partners.

15. Force Majeure

The Company shall not be liable for failure to perform obligations under these Terms due to events beyond its reasonable control, including but not limited to:

  • Natural disasters (e.g., earthquakes, floods, cyclones);
  • Governmental orders, restrictions, or regulations;
  • Cyberattacks, server outages, or failures of third-party services (e.g., Razorpay, Amazon Courier Service, Delhivery, DTDC, XpressBees, Ecom Express, FedEx, BlueDart);
  • Strikes, riots, war, or civil unrest;
  • Pandemics or public health emergencies.

16. Termination and Suspension

  • The Company may terminate or suspend your access to the Platform at its sole discretion, with or without notice, for reasons including but not limited to violation of these Terms, suspected fraud, or compliance with legal obligations.
  • Upon termination, your account and associated data may be deleted, subject to retention requirements under the DPDP Act, 2023GST laws, or other regulations.
  • Users may terminate their account by submitting a written request to info@pinemart.in, subject to settlement of any outstanding obligations (e.g., pending payments, returns, or replacements).

17.2 Dispute Resolution

  • Disputes arising from these Terms shall first be attempted to be resolved amicably through negotiation between the User and the Company.
  • If unresolved within 30 days, disputes shall be subject to the exclusive jurisdiction of courts in Mumbai, India, governed by Indian law.
  • Users may escalate unresolved grievances to the Consumer Disputes Redressal Commission under the Consumer Protection Act, 2019.

18. Amendments to Terms

The Company reserves the unilateral right to amend, revise, update, or replace these Terms at any time without prior individual notification. Amendments are effective immediately upon posting on https://www.pinemart.in. Continued use of the Platform post-amendment constitutes acceptance of the revised Terms. Users are solely responsible for periodically reviewing these Terms for updates.

19. Severability and Waiver

  • If any provision of these Terms is deemed invalid, illegal, or unenforceable by a competent court, the remaining provisions shall remain in full force and effect.
  • The Company’s failure to enforce any right or provision shall not constitute a waiver of such right or provision unless expressly acknowledged in writing.

20. Governing Law and Jurisdiction

These Terms are governed by the laws of the Republic of India. Any disputes arising hereunder shall be subject to the exclusive jurisdiction of courts in Mumbai, India, unless otherwise mandated by law.

21. Entire Agreement

These Terms, together with the Privacy Policy and any other referenced policies or agreements, constitute the entire agreement between you and PineMart regarding the use of the Platform, superseding all prior agreements, communications, representations, or understandings, whether written or oral.

22. Acknowledgment and Consent

By accessing, registering on, transacting via, or otherwise engaging with the Platform, you:

  • Acknowledge that you have read, understood, and agreed to these Terms in their entirety;
  • Consent to all obligations, restrictions, liabilities, and conditions outlined herein;
  • Waive any claims of unenforceability based on the length, complexity, or technical language of this Agreement;
  • Agree that this Agreement forms a legally binding contract between you and PineMart.
